Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Grata Health Inc. ("Grata Health," "we," "us," or "our") concerning your access to and use of the Sobo mobile application and related services (collectively, the "Services").

By accessing or using Sobo, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Relationship Between Grata Health Inc., Sobo, and Grata Health Care P.C.

Sobo is a software application developed and operated by Grata Health Inc., a management services organization.

Grata Health Inc. does not provide medical care or clinical services.

Any medical or clinical services referenced, arranged, or made available through the Services are provided exclusively by licensed healthcare professionals affiliated with Grata Health Care P.C. or other independent clinical partners.

Your use of Sobo does not by itself create a provider-patient relationship with Grata Health Inc. A provider-patient relationship is established only when and if you choose to engage with licensed healthcare professionals through Grata Health Care P.C. or its affiliated providers.

Insurance eligibility checks and related administrative activities may be performed by Grata Health Inc. on behalf of Grata Health Care P.C. for the purpose of facilitating potential access to clinical services.

Eligibility

You must be at least 18 years of age to use Sobo. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Insurance Verification and Eligibility Checks

By using the Services and providing personal or insurance information, you authorize Grata Health Inc., acting as a management services organization, to conduct insurance eligibility and benefit verification checks on your behalf and on behalf of Grata Health Care P.C.

This authorization includes permission to:

• Contact your health insurance provider or third-party administrators
• Verify coverage, benefits, deductibles, copayments, and in-network status
• Confirm eligibility for services that may be provided by Grata Health Care P.C.
• Use the information obtained solely for administrative, eligibility, and care coordination purposes

These activities are performed to determine whether you may qualify for clinical services and to facilitate potential access to care. Conducting an eligibility check does not obligate you to receive services and does not create a provider-patient relationship.

You may withdraw this authorization at any time by contacting hello@grata.ai. Withdrawal of authorization may limit or prevent your ability to access certain features or services.

Description of Services

Sobo is a recovery companion application designed to provide conversational support, daily check-ins, and progress tracking for individuals navigating recovery. Sobo uses artificial intelligence to provide personalized responses and remember your conversations over time.

Important: Sobo is not a substitute for professional medical advice, diagnosis, or treatment. Sobo does not provide emergency services. If you are experiencing a medical emergency, please call 911 or your local emergency services immediately.

If you are experiencing thoughts of self-harm or suicide, you should immediately seek help by contacting 911 or calling or texting 988 in the United States.

No Provision of Medical Services by Grata Health Inc.

Grata Health Inc. provides technology and administrative services only. Grata Health Inc. is not a licensed medical provider and does not practice medicine. All clinical services are provided exclusively by Grata Health Care P.C. or other licensed healthcare professionals.

User Accounts

To use certain features of Sobo, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

Acceptable Use

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Use automated means to access the Services without our permission
• Impersonate another person or entity
• Transmit viruses, malware, or other harmful code

Intellectual Property

The Services, including all content, features, and functionality, are owned by Grata Health Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

User Content

You retain ownership of any content you submit to Sobo, including your conversations and personal information. By using the Services, you grant us a license to use, store, and process your content solely to provide and improve the Services.

We may use aggregated or de-identified information for product improvement, analytics, research, and operational purposes. Such information does not identify you personally.

Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal information.

We use and disclose personal information only as described in our Privacy Policy and as permitted by applicable law. We do not sell personal information in a manner that would constitute a sale under applicable privacy laws.

Any information collected during eligibility and insurance verification is used exclusively for the purpose of determining your qualification for and delivering potential care services. This data is handled with appropriate standards of confidentiality and security.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Sobo is not a licensed healthcare provider and does not provide medical advice. The information provided through Sobo is for informational and support purposes only and should not be relied upon as a substitute for professional medical advice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRATA HEALTH INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL ARISING OUT OF YOUR USE OF THE SERVICES.

Indemnification

You agree to indemnify, defend, and hold harmless Grata Health Inc., Grata Health Care P.C., and their officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in any way related to:

• Your access to or use of the Services
• Your violation of these Terms
• Any content you submit, post, or transmit through the Services
• Your violation of any rights of another person or entity
• Your misuse of the Services or any information obtained through the Services

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with our defense of such claims.

Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You and Grata Health Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and Grata Health Inc. shall be resolved exclusively through binding arbitration, and not in court, except as specifically provided below.

Arbitration shall be administered by the American Arbitration Association under its applicable rules. The arbitration shall be conducted before a single arbitrator and shall take place in the State of Delaware or another location mutually agreed by the parties.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement.

Either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction as necessary to protect its rights or property pending the completion of arbitration.

Class Action Waiver

You and Grata Health Inc. agree that any claims shall be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

You expressly waive any right to participate in a class action lawsuit, class arbitration, or any other representative proceeding.

The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

If any portion of this arbitration or class action waiver section is found to be unenforceable, the remaining portions shall remain in full force and effect.

Opt-Out Right

You may opt out of the arbitration agreement by sending written notice to hello@grata.ai within 30 days of first accepting these Terms. The notice must include your name and a clear statement of your intent to opt out of arbitration.

Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Services. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in the State of Delaware, subject to the arbitration provisions above.
